End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("you", "your") and Ad Astra Computing Inc. ("Ad Astra", "we", "us", "our") for the use of Dispatch ("the Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement.

Grant of License

Ad Astra grants you a non-exclusive, non-transferable, revocable license to install and use the Software for personal or internal business purposes, subject to the terms of this Agreement. This license is granted solely to you and may not be shared, sublicensed, or assigned to any third party without prior written consent from Ad Astra.

Commercial Use

Individual developers may use the free tier of the Software for personal projects and open-source contributions. Use of the Software in a commercial or corporate environment, defined as use by or on behalf of any company, organization, government agency, or other entity, or by more than one individual collaborating on a shared project, requires an active Team subscription ($50 per seat per month) or a separate commercial license agreement with Ad Astra. Restrictions

You may not:

  • Reverse engineer, decompile, or disassemble the Software, except to the extent that such activity is expressly permitted by applicable law.
  • Redistribute, sell, lease, rent, or sublicense the Software or any portion of it to any third party.
  • Create derivative works based on the Software.
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
  • Use the Software to provide a hosted or managed service where the Software's functionality is the primary value offered to third parties.
  • Use the Software in a commercial or corporate setting without a valid Team subscription or commercial license.

Intellectual Property

The Software and all copies thereof are proprietary to Ad Astra Computing Inc. and title thereto remains in Ad Astra. All rights in the Software not specifically granted in this Agreement are reserved to Ad Astra. The Software is protected by copyright and other intellectual property laws and treaties. Ad Astra owns the title, copyright, and other intellectual property rights in the Software. This Agreement does not grant you any rights to trademarks or service marks of Ad Astra.

Your Content

You retain all rights to your code, goals, specifications, agent outputs, and all other project data you create using the Software. Ad Astra makes no claim of ownership or license over any content you produce using Dispatch.

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AD ASTRA DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF SECURITY VULNERABILITIES.

AI-generated code should always be reviewed carefully before deployment to production systems. Dispatch provides review tools and human approval gates to assist with this, but the final responsibility for code quality, correctness, and security rests with you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AD ASTRA COMPUTING INC. OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, AD ASTRA'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Termination

This Agreement is effective until terminated. Ad Astra may terminate this Agreement immediately if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies in your possession or control. You may also terminate this Agreement at any time by uninstalling and destroying all copies of the Software.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Ad Astra Computing Inc. operates, without regard to conflict of law principles. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

Entire Agreement

This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Ad Astra regarding the Software and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings.
